VINCISGPT is operated by VINCIS Limited (“VINCIS”, “we”, “us” or “our”). These Terms of Use (the “Terms”) apply to your access to and use of the VINCISGPT website, applications, artificial intelligence features, enterprise knowledge features, AI Employee, connectors, automation tools and related services (collectively, the “Services”).
Please read these Terms carefully before using the Services. By registering an account, clicking to accept, or continuing to use the Services, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.
01Eligibility
You must have the legal capacity to enter into a binding contract under the laws of your jurisdiction.
If you use the Services on behalf of a company or other organisation, you represent that you are duly authorised by that organisation and have the authority to accept these Terms on its behalf. In that case, “you” includes that organisation.
You must not impersonate any person, fabricate an authorisation relationship, or use the Services on behalf of any individual or organisation without authorisation.
02Description of the Services
VINCISGPT is an artificial intelligence system for enterprise knowledge, research, work management and AI Employee collaboration. The Services may include:
- information retrieval, research, analysis and content generation;
- enterprise material and knowledge management;
- task planning, work allocation and execution assistance;
- configuration, management and collaboration of AI Employees;
- processing of documents, data and other digital content;
- connections to third-party services that you authorise;
- other features made available by VINCIS from time to time.
Certain features may be in test, preview or beta stage and may change, be interrupted or be discontinued.
We do not warrant that all features are available in every country, region, device, language or account type.
03Accounts and Security
You must provide accurate and complete account information, keep it up to date, and properly safeguard your login credentials, verification codes, access tokens and other authentication information.
You are responsible for activity occurring under your account, except for unauthorised activity caused directly by a security failure attributable to VINCIS.
If you discover account compromise, credential leakage or any other security incident, you must notify us immediately using the contact details set out in these Terms.
You must not access another person’s account, enterprise workspace, data, system permissions or protected resources without authorisation.
04Identity, Permissions and Approvals
The Services determine user permissions based on verified identity and authorisation records held in the system.
An email address, display name, job title, role label, organisation name or interface display does not by itself create ownership, administrative rights or approval authority. Such rights are determined by system-confirmed identity and valid authorisation records.
AI, AI Employees, automated programs and model output must not assume a human identity, grant approvals on behalf of a user, or create elevated permissions for themselves.
For external publication, sending communications, payments, permission changes, processing of sensitive materials or other high-risk actions, the Services may require user confirmation or approval by an authorised person. Where valid confirmation or authorisation is not obtained, the Services may refuse, suspend or decline to execute the relevant operation.
You must not falsify identity, permissions, approval records, execution results or audit evidence.
05AI Output and User Responsibility
The Services generate content using artificial intelligence. AI output may be inaccurate, incomplete, outdated, biased or unsuitable for a particular purpose.
You should independently verify material output according to your use case. For legal, medical, financial, tax, investment, safety, human resources or other high-risk matters, you should consult a suitably qualified professional.
Unless the Services expressly provide verified evidence of execution, a statement by AI that a task has been “completed” does not mean the task has in fact been completed.
You must not rely solely on AI output to make automated decisions that may materially affect a person’s life, health, significant interests or legal status.
You are responsible for how you use, adopt, modify, publish or act upon AI output.
06User Content and Enterprise Materials
“User Content” means text, files, data, images, instructions and other materials that you submit, upload, input, connect, generate or permit the Services to process.
As between you and VINCIS, you retain the rights you lawfully hold in your User Content.
You grant VINCIS a limited, non-exclusive licence, solely to the extent necessary to provide, maintain, protect and improve the Services, to store, reproduce, process, transmit and display User Content. This licence does not transfer ownership of User Content to VINCIS.
You represent that you hold the rights, licences and lawful basis required to submit and process the User Content, and that it does not infringe any person’s privacy rights, intellectual property rights, confidentiality obligations or other lawful interests.
Unless otherwise agreed in writing, you must not submit to the Services data whose processing is prohibited by law, highly sensitive materials you are not authorised to use, or third-party confidential information you have no right to disclose.
07Enterprise Knowledge and Factual Records
The Services may assist in organising, summarising and retrieving enterprise materials. Conversation content, model inferences, suggestions or AI-generated text do not by themselves constitute confirmed enterprise facts.
Each organisation is responsible for deciding which materials may be confirmed as official knowledge, records or a basis for decision-making.
You must not use the Services to knowingly create false enterprise records, fabricate evidence, tamper with audit information or mislead other users.
08Privacy and Data Processing
We process personal data in accordance with applicable privacy laws and the VINCISGPT Privacy Policy.
Depending on the features and configuration you use, certain data may be processed by cloud providers, model providers, storage providers, analytics providers or other engaged service providers.
Where the Services offer local processing or private deployment, the applicable data boundary is determined by the relevant product documentation, technical configuration and any written agreement between the parties. Unless expressly stated, we do not warrant that all data is processed only on a local device.
You are responsible for ensuring that appropriate notice, consent or another lawful basis exists for submitting personal data to the Services.
09Third-Party Services and Connectors
The Services may connect to third-party models, websites, applications, data sources, payment services or other platforms.
Third-party services are subject to their own terms, privacy policies, fees and availability limitations. VINCIS does not control third-party services and does not warrant their continued availability, accuracy or security.
When you authorise a connector to perform an action, the Services may send data or requests to a third party in accordance with your instructions. You should verify the destination, scope, permissions and likely consequences before execution.
VINCIS is liable for losses arising from the acts, failures, policy changes or discontinuation of third-party services only to the extent provided by applicable law.
10Fees, Subscriptions and Payment
Certain Services may be chargeable. Prices, billing cycles, usage limits, taxes and refund conditions are as set out on the purchase page or in the applicable order documentation.
Unless the purchase page states otherwise, subscriptions may renew automatically for the selected period. You may cancel renewal before the start of the next billing cycle.
You authorise us or our payment provider to charge fees in accordance with the plan you select. You must ensure your payment information is accurate and valid, and you are responsible for applicable taxes.
Services that have actually been provided, consumed or used are generally non-refundable, except where required by applicable law or otherwise stated on the purchase page.
We do not treat forecasts, simulations, estimates or usage that has not yet occurred as fees actually incurred.
11Acceptable Use
You must not use the Services to:
- engage in unlawful, fraudulent, infringing, harassing or harmful activity;
- access, test, scan or compromise system security without authorisation;
- upload malicious code, viruses or destructive content;
- circumvent authentication, permission controls, usage limits or security measures;
- falsify approvals, evidence, transactions, execution results or identity;
- collect, process or disclose personal data without authorisation;
- infringe intellectual property rights, privacy rights, confidentiality obligations or other rights;
- create or distribute content prohibited by law;
- resell, reproduce or competitively sublicense the Services without authorisation;
- consume resources unreasonably, interfere with the Services or affect other users;
- use AI to make fully automated high-risk decisions without appropriate human oversight;
- induce models, AI Employees or systems to bypass established permission and governance boundaries.
We may investigate activity suspected of breaching these Terms and may restrict, suspend, remove content, terminate accounts or make reports to authorities as permitted by law.
12Intellectual Property
VINCIS and its licensors own the intellectual property rights in the Services, software, interfaces, brand, trademarks, documentation, system architecture and related technology.
Except as expressly permitted in these Terms, you must not copy, modify, sell, rent, reverse engineer, sublicense or create derivative works of the Services, save where applicable law expressly permits this and such permission cannot be excluded by contract.
To the extent permitted by applicable law and the terms of the relevant third-party models, you may use the output generated for you. Given the nature of artificial intelligence, similar or identical output may be provided to other users, and we do not warrant that any output is unique or capable of intellectual property protection.
If you provide us with suggestions or feedback, you permit us to use them to improve the Services without payment to you; this does not give us ownership of your other User Content.
13Confidentiality
If you gain access through the Services to non-public materials of another organisation or user, you must comply with applicable confidentiality obligations and must not use or disclose them without authorisation.
VINCIS will apply reasonable technical and organisational measures to protect non-public user materials under our control, but no system can guarantee absolute security.
14Changes, Suspension and Termination
We may modify, suspend or discontinue parts of the Services for security, compliance, maintenance, technical upgrade or business reasons.
Where reasonably practicable, we will give advance notice of materially adverse changes, except in cases of urgent security incidents, legal requirements or third-party service interruptions.
We may restrict or terminate your use of the Services if you materially breach these Terms, create security risks, fail to pay fees, or expose us to legal liability.
You may stop using the Services or close your account through the options provided in account settings. Following termination, transaction, security, audit or compliance records that must be retained by law may continue to be stored.
15Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis. VINCIS does not warrant that:
- the Services will be uninterrupted, error-free or entirely secure;
- AI output will always be accurate, complete or fit for your particular purpose;
- search results or third-party materials will always be true, current or complete;
- AI-generated content is unique or does not infringe third-party rights;
- all tasks, automations or third-party operations will be completed successfully;
- the Services will satisfy all legal, industry or internal compliance requirements.
Nothing in these Terms excludes any warranty or liability that cannot be excluded under applicable law.
16Limitation of Liability
To the maximum extent permitted by applicable law, VINCIS shall not be liable for any indirect, incidental, special, punitive or consequential loss, including loss of profits, revenue, goodwill, business opportunity or data.
To the maximum extent permitted by applicable law, the aggregate liability of VINCIS arising out of or in connection with the Services shall not exceed the greater of:
- the fees actually paid by you to VINCIS for the Services in the twelve (12) months preceding the event giving rise to the claim; and
- HKD 800.
These limitations do not apply to liability that cannot be limited or excluded by law, including liability for fraud, wilful misconduct, and death or personal injury where such liability may not be excluded.
17Indemnification
If VINCIS suffers third-party claims, losses or reasonable costs arising from your unlawful use of the Services, your breach of these Terms, your infringement of third-party rights, or your submission of content you had no right to process, you shall bear the corresponding responsibility to the extent permitted by applicable law.
This clause does not require a consumer to assume liability that cannot lawfully be transferred.
18Changes to These Terms
We may update these Terms to reflect changes to the Services, legal requirements or security needs.
Where a change materially affects your rights or obligations, we will notify you through the website, in-product notice, email or another reasonable method.
The amended Terms take effect on the date published or the date stated in the notice. Where the law requires separate consent, we will obtain your consent as required.
19Governing Law and Dispute Resolution
These Terms are governed by the laws of the Hong Kong Special Administrative Region.
The parties shall first attempt to resolve any dispute arising out of these Terms or the Services through good-faith negotiation. If negotiation fails, and unless applicable mandatory consumer protection law provides otherwise, the parties agree that the competent courts of the Hong Kong Special Administrative Region shall have jurisdiction.
These Terms do not affect any rights a consumer has under mandatory laws of their place of residence.
20General Provisions
If any part of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
A failure by VINCIS to enforce a right under these Terms immediately does not constitute a waiver of that right.
You may not assign your rights or obligations under these Terms without the prior written consent of VINCIS. VINCIS may assign these Terms in connection with a corporate reorganisation, merger, acquisition or transfer of business, as permitted by law.
These Terms, the Privacy Policy, the purchase page and any applicable order documentation together constitute the entire agreement between you and VINCIS regarding the Services.
In the event of any conflict between language versions, and unless applicable law provides otherwise, the Chinese / English — select before launch version shall prevail.
